Terms of Service

Last Updated: September 16, 2026

Please read these Terms of Service (the “Terms”) and our Privacy Policy carefully because they govern your access to and use of the 0verwatch contributor network, website, tools, workspaces, reports, intelligence products, recovery-coordination services, communications, and all related features and functionality (collectively, the “Service”), offered by the 0verwatch Foundation, a Cayman Islands foundation company (the “Foundation,” “we,” or “us”).

In addition to the terms defined elsewhere in these Terms, the following capitalized terms have the meanings set forth below:

“Charter” — The governing charter of the Foundation, as may be amended from time to time, which establishes the foundational rules, parameter bounds, and governance structure for the Foundation and the Service.

“Confidential Information” — All non-public information disclosed by the Foundation to you in connection with the Service, including Reports, case data, contributor data, tracing outputs, intelligence products, pricing, business plans, and technical information, whether disclosed orally, in writing, electronically, or by inspection, and whether or not marked as confidential.

“Community Rewards” — The pool of WATCH tokens designated by the Foundation for distribution to contributors as incentives, rewards, or other allocations in connection with the Service, as described in applicable network documentation.

“Dispute Notice” — A written notice from a party raising a Dispute that includes the party’s name, email, wallet or account identifiers, a description of the Dispute, and the relief sought, as further described in Section 19.1.

“Feedback” — Any suggestions, ideas, enhancement requests, recommendations, corrections, or other feedback provided by you regarding the Service.

“Privacy Policy” — The Foundation’s privacy policy, as posted on the Site and updated from time to time, which describes the Foundation’s practices regarding the collection, use, and disclosure of personal information in connection with the Service.

“Recovery and Lawfare Pool” — The pool of resources, including staked WATCH and other funding, established by the Foundation for the purpose of financing recovery efforts, legal actions, and related litigation support in connection with cases pursued through the Service.

“Site” — The Foundation’s website located at 0verwatch.com, or such other URL as the Foundation may designate from time to time.

“Sponsorship Pool” — The pool of delegated, non-transferable, slashable WATCH stake made available by the Foundation to provide capital-constrained contributors with access to trust-tier levels they would not otherwise meet.

“TGE” — The Token Generation Event, being the initial distribution or public availability of WATCH tokens.

“Trust and Safety Council” — The governance body established by the Foundation that is responsible for adjudicating breaches, administering slashing, and overseeing trust and safety matters within the Service.

“WATCH” — The WATCH digital token, an access-and-coordination instrument with a fixed total supply of 1,000,000,000 tokens, used within the Service to gate trust-tier access, post slashable collateral, weight governance, and optionally receive CVU payouts.

1. Agreement to Terms

By accessing or using the Service, creating an account, verifying identity, staking WATCH, submitting work, receiving Reports, or otherwise participating in the network, you agree to be bound by these Terms and the Privacy Policy. If you do not agree, you are prohibited from accessing or using the Service. Each time you use the Service you renew the representations, warranties, acknowledgements, and agreements in these Terms, as amended from time to time.

2. Changes to These Terms or the Service

We may update these Terms in our sole discretion. We will post updated Terms on the Site. Continued use after posting constitutes acceptance. We may change, suspend, or discontinue all or any part of the Service at any time without notice or liability, including features, trust-tier thresholds, tool access, emission parameters (within Charter bounds), and partner integrations.

3. Who May Use the Service

You may use the Service only if you are 18 years or older and capable of forming a binding contract with the Foundation, and not otherwise barred under applicable law.

Access is strictly prohibited for any “Restricted Person,” meaning any person who:

By using the Service you represent on a continuing basis that you are not a Restricted Person, are not accessing from a Restricted Jurisdiction, and will not use the Service for the benefit of any Restricted Person. We may restrict access from any jurisdiction or by any person at any time without notice.

4. The Service; Nature of Outputs

4.1 What the Service Is

The Service is a coordinated contributor network that detects threats to digital assets, supports victims of theft and fraud, and pursues recovery, distributed in part through exchanges, custodians, and wallet partners. The network draws on six contributor communities: developers, investigators, intelligence contributors, standards authors, legal professionals, and amplifiers.

The Service may include: identity and trust-tier onboarding; staking and slashing mechanics; work intake, pricing in CVU bands, RFQ/counteroffer, and escalating bounties; case workspaces; tracing and enrichment tools gated by trust tier and handling label; Reports, alerts, findings, scores, technical demonstrations (including proof-of-concept material), and other outputs (collectively, “Reports”); Recovery and Lawfare Pool participation; governance interfaces; and related communications.

4.2 Informational Purposes; Automated and Human Outputs

Reports and other information made available through the Service are for informational and operational coordination purposes only. Outputs may be generated by a combination of human judgment and automated analysis, including heuristic, statistical, and machine-learning systems, which may change over time. Findings may be probabilistic, incomplete, outdated, or inaccurate, and may include false positives and false negatives. Reports speak only to indicators observed at a particular point in time and are not certifications or assurances of any kind.

4.3 No Reliance; Your Sole Responsibility

You may not rely on any Report, or on the absence of any Report, finding, classification, or alert, for any purpose. The absence of a finding is not a determination that any package, protocol, wallet, person, or asset is secure or non-malicious. The presence of a finding is not a determination that any such item is insecure or malicious. You are solely responsible for your own security decisions, legal strategy, victim communications (if you are authorized to make them), code, keys, and systems. Reports are not a substitute for independent professional security audits, legal advice, or your own due diligence.

4.4 No Duty Assumed; No Obligation to Monitor

We have no obligation to scan any code or chain, to detect or identify any vulnerability, theft, or threat, to generate, deliver, update, or correct any Report, to notify you or any other person of any finding, to accept any case, to pursue any recovery, to monitor any ecosystem on any schedule or at all, or to maintain any aspect of the Service. Nothing in these Terms, in any Report, or in the operation of the Service creates any duty of care, protective duty, special relationship, or other duty to you or to any third party, whether by voluntary undertaking, course of dealing, or otherwise. Submission of a package, case, or verification request does not entitle you to any scan, Report, engagement, or recovery action.

4.5 Disclosure Discretion; Handling Labels

We may determine, in our sole discretion, whether, when, how, in what form, and to whom any Report, finding, or other output is made available, including whether to make information available to a verified owner, a contributor with the requisite trust tier and handling clearance, a partner institution, law enforcement or regulators, the public, or no one, and including whether to withhold, delay, redact, aggregate, or anonymize information. Access to sensitive material requires both the applicable trust tier and a need-to-know handling clearance. A high trust tier does not automatically confer access to the most sensitive material.

We may disclose information generated by the Service to law enforcement, regulators, or other governmental authorities where we believe disclosure is appropriate or required. No decision to disclose or not to disclose creates any obligation or liability, or any expectation of similar treatment in the future. We are not obligated to receive, investigate, respond to, or act upon any objection to, or any request for correction, re-scanning, or removal of, any Report or finding.

4.6 No Third-Party Reliance; Not an Endorsement

Reports and Service outputs are made available solely for the benefit of the Foundation, its designees, verified package or case principals where expressly granted, and contributors acting within authorized scope. No other person is entitled to access, use, or rely on any Report. Neither scanning, issuance or absence of a Report, verification of identity or ownership, assignment of a trust tier, nor staking of WATCH constitutes an endorsement, certification, audit, approval, ranking, or recommendation of any person, package, protocol, project, or outcome.

4.7 Recovery Operations

Recovery is a pursuit, never a promise. The Service coordinates triage, evidence preservation, professional engagement, and legal and technical pursuit. No outcome, recovery amount, freeze, judgment, or restitution is guaranteed.

Where the Service is used in connection with victim support or recovery:

5. Accounts, Identity, and Trust Tiers

5.1 Onboarding

To participate beyond publicly available materials you may be required to create an account, complete identity assurance appropriate to your role (heightened for sponsored contributors and higher tiers), connect a compatible wallet you independently control, stake WATCH as collateral for a trust tier, and accept community-specific runbooks. You agree to provide accurate, current, and complete information and to keep it updated. We may require additional or repeated verification at any time.

5.2 Verification Is Technical, Not Legal Title

Wallet signatures, on-chain indicators, and administrative checks are technical checks of control. They are not legal determinations of ownership, authorship, title, or rights. We may rely conclusively on materials presented to the Service and are not responsible for verification obtained through compromised keys, fraud, spoofing, or error, or for disputes between persons claiming the same identity, package, or case. We may grant, deny, suspend, or revoke verified or tier status at any time, without notice or liability, including where we suspect imitation, cloning, competitor reconnaissance, or other misuse.

5.3 Security of Credentials

You are solely responsible for the security of your wallet, private keys, seed phrase, linked accounts, encryption keys, and delivery channels, and for all activity under your account or verified status. Notify us promptly at the contact address in Section 22 if you become aware of unauthorized use. We are not liable for loss arising from unauthorized use of your credentials or from interception, non-delivery, or loss of communications, including encrypted Reports.

5.4 Trust Tiers and Handling Labels

Trust is two-dimensional: contributor trust tier (earned through stake, reputation, and identity assurance) and handling label on the information itself. Recommended staking thresholds (5,000 / 10,000 / 25,000 / 50,000 WATCH) and tool-access matrices may be adjusted by named parameter governors within Charter bounds. Stake locked for a tier is collateral, not a yield-bearing lockup. You agree not to hold yourself out as holding a tier or case role you no longer hold.

5.5 Sponsored Contributors

The Sponsorship Pool may provide delegated, non-transferable, slashable stake so capital-constrained contributors can reach tier access. Sponsored stake remains subject to slashing and revocation. Sponsorship is not employment and creates no entitlement to work, pay, or continued sponsorship.

6. Contributor Status, Work, and Compensation

6.1 Independent Contributors; Not Employment

Unless we execute a separate written employment agreement with you, you participate as an independent contributor or independent contractor. These Terms do not create employment, partnership, joint venture, or agency. You may decline work. You are responsible for your own taxes, licenses, and professional obligations. Rate negotiation, posted CVU bands, RFQ/counteroffer, and the ability to decline assignments are intended to preserve marketplace rather than managerial control.

6.2 Pricing Model

Work is priced by a hybrid model: posted prices in governed CVU bands by default; RFQ and counteroffer for complex scoped work; escalating bounties for discovery; and assurance-contract pooled funding for co-funded recovery where a threshold must be met. There are no open reverse auctions. CVUs are USD-denominated units of account for work value; they are not a token and are not transferable as a speculative instrument.

6.3 Stable-Value Default; Optional WATCH Conversion

Contributors are paid in stable value by default. You may opt to receive part of a CVU payout in WATCH at a hardened oracle rate, subject to the circuit-breaker rules described in network parameter schedules. Conversion is optional. We do not represent that WATCH will hold value, appreciate, or be liquid. In AMBER or RED circuit-breaker bands, large or all conversions may pause or default to stablecoin as specified in those schedules.

6.4 Acceptance, Disputes, and Optimistic Process

Work may be presumed accepted after review sign-off unless formally contested within the applicable window. Contested matters escalate to bonded or panel adjudication. You agree to the published rubrics, appeal paths, and slashing ranges. Scoring and standing changes that have legal or similarly significant effects on you will include human review as required by applicable automated-decision rules.

6.5 Legal Cover; Good-Faith Work

The Foundation may make available safe-harbor style terms of engagement, pre-authorized frameworks for good-faith security research and investigation, and, where a separate legal-defense facility exists, grant-based defense support for good-faith contributors who meet published eligibility criteria. Legal cover is not a license to violate law, not a guarantee of defense funding, and not a waiver of slashing or termination for breach.

7. WATCH Token; Staking; Slashing; Governance

Important notice regarding the WATCH token: WATCH is an access-and-coordination instrument. It is not an investment contract, a yield instrument, a revenue-share right, or a promise of price appreciation. Nothing in these Terms, on the Site, or in any communication is an offer of securities. Contributors are paid in stable value by default. Any conversion of Contribution Value Units (“CVUs”) into WATCH is optional and secondary.

7.1 Nature of WATCH

Total WATCH supply is fixed at 1,000,000,000 with no protocol-level minting. WATCH is used to gate trust-tier access, to post slashable collateral (including Recovery and Lawfare Pool participation), to weight governance together with reputation, and optionally to receive a portion of CVU payouts. WATCH does not confer equity, profit share, dividends, or a right to Foundation assets. Marketing and these Terms speak to functionality, never to price.

7.2 Staking Is Access and Collateral, Not Work Allocation

Staking gates access and provides slashable collateral. Staking never auctions differentiated expert work (security research, investigation, legal strategy) by stake weight. Allocation of differentiated work is by capability, posted bands, RFQ/counteroffer, or bounty — never by stake-weighted auction.

7.3 Slashing

On confirmed breach, a portion of staked WATCH may be burned or redirected within Charter ranges as adjusted by the Trust and Safety Council. Subjective slashing is adjudicated by human panel. You acknowledge slashing as a condition of tier access.

7.4 Governance

Governance weight equals stake multiplied by reputation. Charter-level changes sit behind a high bar and long timelocks; parameter-level changes run through named parameter governors on published bounds and cadences. Founder and insider vote caps, staggered governor terms, and the public parameter registry described in network documentation apply as implemented. Governance participation is not a security offering.

7.5 Treasury Replenishment

After TGE and only after a securities opinion, the Foundation may, in its discretion and with governance approval, use a portion of operating revenue to repurchase WATCH on the open market and route it into Community Rewards or Recovery and Lawfare pools as they deplete. Replenishment is never formulaic, never promised, and never a distribution to holders. Repurchased WATCH is not distributed to you as a holder benefit.

7.6 No Investment Advice

Nothing concerning WATCH is investment, tax, or trading advice. You are solely responsible for determining the legal and tax treatment of any token you hold or receive in your jurisdiction.

8. Beta Service; No Service Levels

THE SERVICE IS PROVIDED ON A BETA, EARLY-ACCESS, AND EVOLVING BASIS. YOU SHOULD EXPECT DEFECTS, ERRORS, INACCURACIES, INTERRUPTIONS, AND DATA LOSS. FEATURES MAY BE ADDED, MODIFIED, SUSPENDED, OR REMOVED AT ANY TIME, AND DATA — INCLUDING REPORTS, CASE HISTORY, REPUTATION SCORES, AND VERIFICATION STATUS — MAY BE DELETED, RESET, OR LOST, WITHOUT NOTICE OR LIABILITY. WE MAKE NO COMMITMENT REGARDING AVAILABILITY, UPTIME, FREQUENCY, LATENCY, COVERAGE, OR PERFORMANCE, AND WE PROVIDE NO SERVICE LEVELS OF ANY KIND, EXCEPT WHERE A SEPARATE WRITTEN PARTNER AGREEMENT EXPRESSLY PROVIDES OTHERWISE.

9. Fees and Taxes

We may introduce fees for all or any part of the Service by posting fee terms on the Site or otherwise notifying you. Continued use after fee terms take effect constitutes acceptance. You are solely responsible for determining, reporting, and satisfying all tax obligations arising from use of the Service, receipt of CVU payouts, optional WATCH conversion, staking, slashing, or governance rewards (if any) in your jurisdiction.

10. Communications

By using the Service you consent to receive communications relating to the Service, including Reports, security and case notifications, verification messages, slashing or standing notices, and administrative announcements, by email, through the Site, through designated delivery channels (including third-party messaging), or by other means we make available. We do not guarantee delivery, receipt, timeliness, or content. You may opt out of marketing communications; you may not opt out of administrative, legal, safety, or case-critical notices while you continue to use the Service. No communication, and no failure or delay in communicating, creates any duty, representation, or basis for reliance.

By using the Service, you consent to receive electronic communications from the Foundation. You agree that all agreements, notices, disclosures, and other communications that the Foundation provides to you electronically satisfy any legal requirement that such communications be in writing, including under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act) or any analogous legislation in your jurisdiction.

Confidentiality.

You agree to hold in confidence and not disclose to any third party any Confidential Information, except as expressly permitted under these Terms or with the Foundation’s prior written consent. You will use Confidential Information solely for the purposes for which it was disclosed and will protect it using at least the same degree of care you use for your own confidential information, but in no event less than reasonable care. These confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of yours; (b) was known to you prior to disclosure by the Foundation, as evidenced by written records; (c) is independently developed by you without use of or reference to Confidential Information; or (d) is required to be disclosed by law, regulation, or court order, provided you give the Foundation prompt written notice and cooperate in seeking a protective order. Your confidentiality obligations under this Section survive termination of these Terms for a period of three (3) years; provided, however, that with respect to any Confidential Information that constitutes a trade secret under applicable law, your confidentiality obligations shall continue for so long as such information remains a trade secret.

11. General Prohibitions and Enforcement

You agree not to do any of the following:

We are not obligated to monitor use of the Service but may do so to operate the Service, enforce these Terms, and protect the Foundation, contributors, victims, partners, and others. We may investigate violations, remove content, suspend or terminate access or tier status, slash stake, and report suspected unlawful conduct to authorities, in each case without notice, in our sole discretion.

Without limiting the foregoing, no agent, consultant, or contractor that you may engage from time to time that is employed by any third party that the Foundation reasonably deems to be a competitor shall be permitted to access the Service or receive any Reports. The Foundation may, in its sole discretion, deactivate any account or access credentials associated with any individual it reasonably determines is employed by a competitor.

12. Intellectual Property; License to Reports; Feedback

12.1 Ownership; License to the Service

The Foundation owns all right, title, and interest in and to the Service, including software, models, heuristics, databases, reputational systems, and content comprising the Service and associated intellectual property, to the extent created by or licensed to the Foundation. Subject to your compliance with these Terms, the Foundation grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service. You will not remove or obscure proprietary notices.

All trademarks, service marks, trade names, logos, and other indicia of origin displayed on or through the Service (collectively, “Marks”) are the property of the Foundation or its licensors. You are granted no right or license to use any Marks without the prior written consent of the Foundation. You will not register, or attempt to register, any trademark, service mark, domain name, or social media handle that is confusingly similar to any Mark of the Foundation.

12.2 License to Reports; Restricted Use

Subject to compliance with these Terms and applicable handling labels, the Foundation grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use Reports made available to you solely for authorized internal purposes: assessing and remediating packages you verify; performing assigned investigative, intelligence, standards, development, legal, or amplification work; or participating in an authorized recovery matter. You may disclose a Report only (i) to officers, employees, contractors, and professional advisers who need to know it for those purposes and who are bound by confidentiality at least as protective as this Section, or (ii) to the extent required by law, with prompt notice to us where legally permitted. You will not state or imply publicly that any package, person, or matter has been scanned, cleared, verified, approved, or endorsed by the Service or the Foundation without prior written consent. Proof-of-concept materials may be used solely in controlled environments you control, and solely to assess and remediate the relevant system; any other execution, deployment, adaptation, or distribution is prohibited.

12.3 Contributor Work Product

Unless a separate written agreement provides otherwise, you grant the Foundation a non-exclusive, transferable, worldwide, perpetual, irrevocable, royalty-free license, with right to sublicense, to use, reproduce, modify, distribute, and otherwise exploit work product you submit through the Service as needed to operate, improve, and document the Service and authorized cases, subject to handling labels and applicable privilege. You represent that you have the rights necessary to grant this license and that your submissions do not infringe third-party rights.

12.4 Feedback

You hereby agree that the Foundation owns all right, title, and interest in and to the Feedback, including any and all associated intellectual property rights. To the extent any rights in Feedback do not automatically vest in the Foundation, you hereby assign and agree to assign to the Foundation all right, title, and interest in and to such Feedback. The Foundation may use, copy, modify, create derivative works based upon, and otherwise exploit the Feedback for any purpose, without notice, attribution, or compensation to you. You acknowledge that Feedback will be treated as the Foundation’s Confidential Information.

12.5 Third-Party and Open-Source Components

The Service may incorporate third-party and open-source software and partner datasets. Those components are governed by their own licenses and data terms. Nothing in these Terms limits your rights under, or grants rights that supersede, those licenses. Partner data access is limited to what the underlying data license permits at your tier.

Third-Party Materials. The Service may contain links to, or integrations with, third-party websites, services, or content that are not owned or controlled by the Foundation (“Third-Party Materials”). The Foundation has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any Third-Party Materials. You acknowledge and agree that the Foundation is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any Third-Party Materials. Your use of Third-Party Materials is at your own risk and subject to the terms and conditions of those third parties.

Copyright Complaints. If you believe that any content on the Service infringes your copyright, you may submit a notification to the Foundation’s designated agent at info@0verwatch.com, including: (a) identification of the copyrighted work claimed to have been infringed; (b) identification of the material claimed to be infringing and its location on the Service; (c) your contact information; (d) a statement that you have a good-faith belief that the use is not authorized; and (e) a statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner. The Foundation reserves the right to remove any content alleged to be infringing without prior notice.

13. No Professional Advice; No Fiduciary Duty

Information provided by the Service, including Reports, is informational only and is not professional, technical, operational, security, legal, investment, or other advice. Neither the Foundation nor any of our service providers, affiliates, licensors, licensees, contractors, consultants, or their respective officers, directors, employees, agents, and representatives (each, a “Covered Party”) is your adviser, auditor, broker, agent, or fiduciary. Making the Service available does not create a fiduciary, advisory, protective, or special relationship. We have no trust or other obligations to you except those expressly stated in a separate written agreement signed by the Foundation.

14. Termination

We may suspend or terminate your access, verified status, trust tier, sponsorship, or governance participation at our sole discretion, at any time and without notice. You may stop using the Service at any time. Upon termination:

Sections 4 and 11 through 22 survive termination.

15. Warranty Disclaimers; Assumption of Risk; Release

15.1 Disclaimer of Warranties

THE SERVICE, ALL REPORTS, AND WATCH-RELATED FUNCTIONALITY ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. WE EXPLICITLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE MAKE NO WARRANTY THAT THE SERVICE WILL DETECT ANY OR ALL THREATS OR THEFTS; THAT ANY REPORT WILL BE ACCURATE, COMPLETE, CURRENT, OR DELIVERED AT ALL; THAT ANY PACKAGE, PROTOCOL, OR PERSON IS OR WILL REMAIN SECURE; THAT ANY RECOVERY WILL SUCCEED; THAT WATCH WILL HAVE ANY MARKET OR VALUE; OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED, SECURE, OR ERROR-FREE. ANY RELIANCE IS STRICTLY AT YOUR OWN RISK.

WITHOUT LIMITING THE FOREGOING, THE FOUNDATION DOES NOT WARRANT THAT: (A) THE DATA, ANALYTICS, SCORES, OR CLASSIFICATIONS PROVIDED THROUGH THE SERVICE ARE ACCURATE, COMPLETE, OR CURRENT; (B) THE SERVICE WILL IDENTIFY ALL ILLICIT ACTIVITY, SANCTIONED PARTIES, OR SECURITY THREATS; (C) THE SERVICE WILL OPERATE WITHOUT INTERRUPTION, DELAY, OR ERROR; OR (D) ANY DEFECTS WILL BE CORRECTED. YOU ACKNOWLEDGE THAT BLOCKCHAIN DATA AND ANALYTICS ARE INHERENTLY PROBABILISTIC AND THAT THE SERVICE RELIES ON THIRD-PARTY DATA SOURCES AND PROTOCOLS THAT MAY CONTAIN ERRORS OR BE INCOMPLETE.

THE FOUNDATION WILL NOT BE LIABLE FOR DELAYS, INTERRUPTIONS, SERVICE FAILURES, OR OTHER PROBLEMS INHERENT IN THE USE OF THE INTERNET AND ELECTRONIC COMMUNICATIONS, BLOCKCHAIN NETWORKS, OR FOR ISSUES RELATED TO THIRD-PARTY HOSTING PROVIDERS, DATA SOURCES, ORACLES, OR INFRASTRUCTURE WITH WHICH THE SERVICE INTERACTS. THE FOUNDATION WILL NOT BE LIABLE FOR YOUR RELIANCE ON OR CONCLUSIONS DRAWN FROM ANY REPORTS OR OTHER SERVICE OUTPUTS.

15.2 Assumption of Risk

You acknowledge the inherent risks of software development, blockchain systems, investigations, and litigation, including that vulnerabilities and malicious actors may exist notwithstanding any scan; that exploits and thefts may occur before, during, or after any Report; that automated analysis is limited; that legal process is uncertain; and that token markets are volatile. You represent that you are technically and professionally sophisticated enough to understand these limitations, or that you are using the Service only through counsel or qualified professionals.

15.3 Release

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU RELEASE AND WAIVE ANY AND ALL CLAIMS AGAINST EACH COVERED PARTY ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE, INCLUDING LOSSES ARISING FROM: use of or reliance on any Report or its absence; failure to detect or report any threat; any exploit, theft, or harm affecting any package or person, whether or not scanned; any decision to disclose, delay, withhold, or decline to disclose information; any grant, denial, or error in verification, tier status, or slashing; delayed or lost communications; beta defects or data loss; partner or oracle failures; WATCH price movement, illiquidity, slashing, or conversion denial under a circuit breaker; recovery outcomes or the absence of recovery; regulatory action; and acts or omissions of other contributors, victims, or partners.

16. Indemnity

You will indemnify and hold the Foundation and each other Covered Party harmless from and against claims, liabilities, damages, losses, and costs (including legal fees) arising out of or connected with:

You agree to cooperate fully with the Foundation in the defense or settlement of any indemnified claim. The Foundation reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you will not settle any such matter without the Foundation’s prior written consent.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NO COVERED PARTY WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOST PROFITS, REVENUES, SAVINGS, BUSINESS, DATA, GOODWILL, REPUTATION, BUSINESS OPPORTUNITIES, OR CONTRACTUAL RELATIONSHIPS, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR THE COST OF SUBSTITUTE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT WILL ANY COVERED PARTY BE LIABLE TO YOU FOR ANY DIRECT OR INDIRECT LOSSES IN CONNECTION WITH ANY PACKAGE, EXPLOIT, THEFT, RECOVERY MATTER, OR ACT OR OMISSION OF ANY THIRD PARTY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOTAL LIABILITY OF THE FOUNDATION AND ALL COVERED PARTIES ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNTS YOU PAID TO THE FOUNDATION FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM (EXCLUDING AMOUNTS PAID TO YOU AS CONTRIBUTOR COMPENSATION).

THE FOREGOING LIMITATIONS SET FORTH THE FOUNDATION’S AND ALL COVERED PARTIES’ ENTIRE FINANCIAL LIABILITY (INCLUDING ANY LIABILITY FOR THE ACTS OR OMISSIONS OF THEIR EMPLOYEES, AGENTS, CONTRACTORS, OR CONSULTANTS) ARISING UNDER OR IN CONNECTION WITH THESE TERMS OR THE SERVICE.

THESE EXCLUSIONS ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN. TO THE FULLEST EXTENT PERMITTED BY LAW, ANY CLAIM MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER IT ACCRUES OR IS PERMANENTLY BARRED.

18. Governing Law and Forum Choice

These Terms and any action related thereto will be governed by the laws of the Cayman Islands, without regard to conflict-of-laws provisions. Except as set forth in Section 19, the exclusive jurisdiction for Disputes that are not required to be arbitrated will be the courts of the Cayman Islands, and each party waives objection to jurisdiction and venue in those courts.

19. Dispute Resolution

Important notice regarding arbitration: When you agree to these Terms you are agreeing (with limited exception) to resolve any dispute between you and the Foundation through binding, individual arbitration rather than in court. Please review this Section carefully. If you are a resident of a jurisdiction where applicable law prohibits arbitration of disputes, the agreement to arbitrate will not apply to you and, to the fullest extent permitted by law, the waivers in Section 20 (Class Action Waiver; Jury Trial Waiver) will still apply.

19.1 Informal Resolution

You and the Foundation must first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a “Dispute”) through good-faith negotiation. The party raising a Dispute must send a written Dispute Notice including name, email, wallet or account identifiers, a description of the Dispute, and the relief sought. Within thirty (30) days after receipt the parties will confer in good faith. If unresolved within sixty (60) days after receipt (extendable by written agreement), either party may commence arbitration. Statutes of limitation and filing-fee deadlines are tolled during this process. Compliance with this Section is a condition precedent to arbitration.

19.2 Mandatory Arbitration

Any unresolved Dispute shall be referred to and finally resolved by binding arbitration administered by the Cayman Islands International Centre (CIAC) and governed by the Arbitration Act (as amended) of the Cayman Islands. The arbitration shall be in English, seated in George Town, Cayman Islands, before a single arbitrator. An award shall be final and binding and not subject to appeal, and may be enforced in any court of competent jurisdiction. Prior to the award each party bears its own costs; thereafter the prevailing party shall be entitled to reasonable attorneys’ fees, costs, and necessary disbursements. The parties shall keep confidential the existence of the arbitration, the proceedings, submissions, and any award, except as necessary to enforce an award or as required by law. Each party waives forum non conveniens and objections to jurisdiction or venue to the extent a proceeding is brought in accordance herewith.

19.3 Exceptions

As a limited exception, either party may seek to resolve a Dispute in small claims court if it qualifies. The Foundation retains the right to seek injunctive or other equitable relief), whether or not this Section applies to you.

20. Class Action Waiver; Jury Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND THE FOUNDATION AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

This waiver applies to all Disputes, whether in arbitration or court, and whether or this section applies to you. An arbitrator may not consolidate claims or preside over any class or representative proceeding. If this waiver is unenforceable as to a particular claim, that claim only may be brought in the courts specified in Section 18, on an individual basis.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY ACTION ARISING OUT OF THESE TERMS OR THE SERVICE.

21. General Terms

Reservation of Rights. The Foundation owns all right, title, and interest in and to the Service and associated intellectual property to the extent created by or licensed exclusively to the Foundation.

Entire Agreement. These Terms (including the Privacy Policy) constitute the entire agreement between you and the Foundation regarding the Service and supersede prior understandings. If any provision is held invalid, it will be enforced to the maximum extent permissible and the remainder will remain in effect. Separate written partner, grant, employment, or case-engagement agreements control to the extent of conflict as to their subject matter.

Assignment. You may not assign these Terms without the Foundation’s prior written consent, except where applicable law requires otherwise. Any attempted assignment in violation is void. The Foundation may freely assign these Terms. These Terms bind successors and permitted assigns.

Notices. Foundation notices may be given by posting to the Site or by other reasonable means, including email. Notices to the Foundation must be sent to the address in Section 22 and are deemed given when actually received.

Waiver. Failure to enforce a provision is not a waiver. A waiver is effective only if in writing and signed by an authorized representative of the Foundation.

Rights and Remedies. The rights and remedies provided under these Terms are in addition to, and not exclusive of, any rights or remedies provided by law.

Injunctive Relief. Notwithstanding anything to the contrary, the Foundation may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights, mishandling of sensitive intelligence or victim data, or unauthorized access to or interference with the Service.

Force Majeure. No Covered Party is liable for delay, failure, or loss resulting from causes beyond its reasonable control, including acts of God, war, terrorism, civil unrest, embargoes, governmental acts, fire, flood, pandemic, labor shortages, internet or blockchain outages, denial-of-service attacks, third-party infrastructure failure, oracle failure, or changes in law.

Export Controls and Anti-Corruption. The Service and all related technical data and technology are subject to U.S. and international export control laws and regulations. You represent and warrant that you are not located in, or a national or resident of, any country subject to comprehensive U.S. trade sanctions, and that you will comply with all applicable export control and sanctions laws in your use of the Service. You further represent and warrant that you have not been and will not be involved in any activity that would constitute a violation of applicable anti-bribery or anti-corruption laws, including the U.S. Foreign Corrupt Practices Act and the UK Bribery Act 2010.

No Third-Party Beneficiaries. Except for Covered Parties, who may enforce provisions that confer rights on them, these Terms do not confer rights on any person other than you and the Foundation. No third party may rely on the Service, any Report, or the absence of a Report.

Headings. Headings are for convenience only and do not affect interpretation.

Publicity. By using the Service, you agree that the Foundation may use your name, logo, and any associated trademarks on the Foundation’s website, in marketing materials, and in case studies, solely for the purpose of identifying you as a user or contributor of the Service. If you wish to restrict the use of your name or trademarks in this way, you may email info@0verwatch.com.

To the extent the Foundation processes personal data on your behalf in connection with the Service, such processing will be governed by the Privacy Policy and any applicable data processing addendum. You are responsible for ensuring that your use of the Service, including any data you submit, complies with all applicable data protection and privacy laws in your jurisdiction.
